BackStock Terms and Conditions of Use

These Terms and Conditions ("Terms") govern your access to and use of the BackStock digital inventory tracking software and services (the “Platform”) provided by BackStock, Inc. ("BackStock", "we", "our", or "us"). By creating an account, accessing, or using the Platform, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
“Platform” means all software, applications, APIs, dashboards, features, and tools offered by BackStock to help users track, manage, and analyze inventory.
“User Content” refers to all data, content, text, files, inventory records, uploads, and information submitted or input into the Platform by a User.
“Aggregated Data” means data derived from User Content that has been de-identified, anonymized, or compiled with data from other users for analytics, commercial, or research purposes.
2. User Eligibility and Account Registration
You must be at least 18 years of age to register or use the Platform.
You agree to provide accurate, complete, and current information during registration and to update such information as necessary.
You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
3. License and Acceptable Use
BackStock grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform in accordance with these Terms.
You may not:
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
Use the Platform to transmit malicious software or unlawful materials.
Interfere with or disrupt the integrity, security, or performance of the Platform.
4. Ownership and Intellectual Property
All rights, title, and interest in and to the Platform, including all intellectual property rights, belong to BackStock.
Nothing in these Terms shall be construed as transferring any ownership rights to you.
You retain ownership of all User Content, subject to the licenses granted below.
5. Data Access, Use, and Commercial Rights
5.1 Access to User Data
You acknowledge and agree that BackStock may access and use your User Content and inventory data for the following purposes:
Platform Functionality: To provide, maintain, and improve the features and performance of the Platform.
Customer Support: To troubleshoot issues, provide guidance, and improve user experience.
Compliance and Enforcement: To investigate and enforce violations of these Terms or applicable law.
5.2 License to User Data
You grant BackStock a worldwide, royalty-free, non-exclusive license to:
Store, host, reproduce, and display your User Content within the Platform to provide services to you.
Analyze, modify, and process your User Content internally to improve Platform capabilities, such as inventory prediction, analytics, and reporting.
Aggregate and anonymize your User Content to generate statistical, benchmarking, and commercial insights.
5.3 Monetization of Data
You expressly agree that BackStock may, at its discretion:
Use Aggregated Data to develop or sell analytical insights, reports, or commercial products to third parties.
Share or license Aggregated Data to partners, affiliates, or external entities.
Retain Aggregated Data beyond the term of your usage of the Platform, provided that such data is non-identifiable and anonymized.
You understand that no compensation will be provided to you for BackStock’s commercial use of Aggregated Data.
6. Data Security and Privacy
BackStock implements reasonable administrative, technical, and physical safeguards to protect your data.
Despite these efforts, no system is 100% secure, and you acknowledge that there are inherent risks in transmitting data online.
Your use of the Platform is also subject to our Privacy Policy, which outlines how personal information is collected, used, and disclosed.
7. Service Availability and Modifications
BackStock strives for high uptime but does not guarantee uninterrupted access to the Platform.
We reserve the right to modify, suspend, or discontinue parts or all of the Platform at any time without prior notice.
We may update these Terms at our discretion. Continued use of the Platform after changes constitutes acceptance.
8. Termination
You may cancel your account at any time.
We reserve the right to suspend or terminate your account for violations of these Terms, misuse of the Platform, or legal reasons.
Upon termination, your access to the Platform will be revoked, but Aggregated Data already collected may continue to be used in accordance with these Terms.
9. Disclaimers and Limitations of Liability
The Platform is provided “as is” and “as available” without warranty of any kind.
BackStock disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
BackStock will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of data, revenue, or profits.

You agree to indemnify, defend, and hold harmless BackStock and its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from:

These Terms constitute the entire agreement between you and BackStock.
